Spotlight on Directors Duties – One Day Workshop
In our recent breakfast seminar series, “Spotlight on Directors,” we explored the challenges faced by directors in meeting the requirements of the duties imposed on them by law.
We noted that the Privy Council advised in the eTeck case that the limitation period does not provide directors with protection for breach of fiduciary duty.
Furthermore, the shareholder, whether it be the State or any other, does not bear the same responsibility under the law as the director, and therefore, accountability remains with the Board of Directors.
The focus of our workshop is on what are the actions that may constitute a breach. What steps can directors take to demonstrate that they have fulfilled the duty of care and the duty of trust. Attendance at this workshop will assist directors in developing appropriate decision-making processes to identify and avoid potential breaches of duty and promote robust decisions that can withstand scrutiny.
