The Role of the Company Secretary as Influencer

In this interactive Master Class, with the use of case studies and group work, we will explore the role of the Company Secretary as “Influencer.” 

Company Secretaries may not actively participate in making material business decisions but they do play an important role in influencing how these decisions are made. They do this through their many roles: as adviser to the board, in agenda development, recording of decisions and required actions in minutes and acting as the boards’ communicator and person responsible for following up on implementation of these decisions.    These roles, when effectively discharged, promote and facilitate high quality decision making, particularly when time is tight and decisions must be made in dynamically evolving situations.

In previous masterclasses we have looked at what company secretaries should be doing.  In this Masterclass we will delve deeper into how performance of the role of company secretary influences how a board operates and its influence over decision-making within organizations.   

Participants will discuss and develop necessary tools and strategies to assist the company secretary to ensure that their role fully, positively and effectively supports the board in discharging its own role whilst avoiding pitfalls that could negatively impact board decision making.

About Our Faculty

Mrs. Alison Dillon Kibirige is a UK solicitor and corporate governance specialist. Alison has worked globally for over twenty-five years as a governance professional, previously as Secretary to the main Boards of Unilever and Barclays in London. She is a Fellow of ICSA. In  2013 she was awarded the ICSA President’s Medal for Meritorious Service, the inaugural ICSA Company Secretary of the Year award in 2005 and has also won awards globally for her work with shareholders.
