Caribbean Corporate Governance Institute presents
Our breakfast Seminar
An effective board – the Chairman’s Role
The chairman’s role in leading an effective board: the role of the chairman is crucial in ensuring a board’s effective performance. The chairman sets the board agenda but is also responsible for how the board works in dealing with that agenda, ensuring that each director has the opportunity to make a contribution and that the board as a whole benefits from the collective experience and expertise of all members. The Chairman also plays a key role in maintaining the “tone at the top” that influences the corporate culture.
The Chairman is a leader whose leadership is directed to bringing out the best in all participants in the corporate decision-making process. This role requires special skills and competencies: to be a strong personality but not overwhelming, to lead but not dominate, an effective communicator and active listener; encouraging free flow of discussion but keeping “on topic.”
Recent events reported in the media show the difficulties that can be experienced in this role. At this breakfast seminar our panel will comprise a group of experienced chairmen who will discuss the special challenges of this role and share their insights.
Target attendees:
Chairmen and aspiring chairmen, directors, corporate secretaries and senior officers who prepare board papers or otherwise provide strategic information to the board.
